Terms of Use

Last updated: [DATE]

Effective: [DATE]

These Terms of Use ("Terms") govern your access to and use of Regulatory Update (the

"Service"), operated by [LEGAL ENTITY NAME], a [STATE] [ENTITY TYPE] ("we",

"us", "our").

**By subscribing to, accessing, or using the Service, you agree to these

Terms.** If you do not agree, do not use the Service.

1. What Regulatory Update is — and what it is not

Regulatory Update monitors published government regulatory sources, identifies changes

between versions of regulatory documents, extracts dates that appear in those

documents, and delivers summaries by email and calendar invitation.

Regulatory Update is an informational monitoring tool. It is not:

attorney-client relationship is created by your use of it. Summaries,

classifications, and extracted dates are automated outputs, not

professional opinions.

kind.

links to the underlying government document. That document, not our

summary of it, is authoritative.

Section 3.

a regulatory obligation or deadline.

You are solely responsible for your own regulatory compliance, including

identifying which rules apply to you, verifying deadlines against primary

sources, and meeting them.

2. No guarantee of accuracy, completeness, or timeliness

The Service is provided "AS IS" and "AS AVAILABLE." We make no

representation or warranty that any information the Service provides is

accurate, complete, current, or fit for any purpose.

We make a good-faith effort to provide useful and accurate information. **Good

faith is not a guarantee, and nothing in these Terms or in our marketing

should be read as one.**

3. Specific known limitations

We describe these plainly because you should understand them before relying

on the Service. This list is illustrative, not exhaustive. Other failures

we have not anticipated are also possible and are equally disclaimed.

3.1 Coverage is partial and changes over time

We do not monitor every jurisdiction. Coverage status for each jurisdiction is

published in the Service and may change without notice. **A jurisdiction not

listed as covered is not monitored at all.** Some jurisdictions we may never

be able to cover, because their governments block automated access, charge for

access, or publish nothing in a machine-readable form.

Even in a covered jurisdiction, we monitor specific published sources, not

the entirety of that government's regulatory activity. Rules published

elsewhere — by an individual agency, in a newspaper of record, by a local or

municipal body, or through a channel we do not monitor — will not appear.

3.2 Automated summaries may be wrong

Change summaries, before/after comparisons, materiality gradings, affected-party

descriptions, and business-type classifications are generated using automated

systems including large language models. These systems make mistakes. They

may mischaracterize a change, miss a material change, overstate a trivial one,

or describe the wrong affected parties.

3.3 Dates may be missing, wrong, or stale

language (for example, "180 days after publication") and may not match the

government's own calculation.

are withdrawn. We attempt to detect and communicate such changes, **and we

may fail to.** A date we previously sent you may be out of date.

are not modeled. All calendar entries are all-day events.

3.4 Filtering may exclude rules that apply to you

The Service filters by jurisdiction, business type, agency, keyword, and

materiality. Filtering is imperfect and will exclude relevant rules. A

rule may be misclassified, untagged, or tagged to a business type you did not

select. Narrower filters mean more exclusion. You are responsible for your

filter settings and their consequences.

3.5 Delivery may fail

Email may be delayed, filtered as spam, bounced, or lost. Calendar invitations

may fail to deliver, fail to update, or be rejected by your calendar software.

Reminders may not fire. We do not guarantee delivery of any message.

3.6 Sources may break without warning

Government websites change format, go offline, block automated access, or stop

publishing. When a source breaks, the Service may silently produce nothing

for that jurisdiction. **Absence of alerts does not mean absence of

regulatory activity.**

3.7 Some items are sent only once

To avoid duplicate messages, we track what we have sent you and generally do

not resend it. If you delete, lose, or never receive a message, **it may not

be sent again.**

4. Your responsibilities

You agree that you will:

relying on it;

applicable to your situation;

Policy regarding the calendar feed);

not scrape or bulk-extract the Service, and not resell or redistribute its

output without our written permission;

5. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND

"AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY,

INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS

FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE,

ERROR-FREE, OR COMPLETE, OR THAT ANY DEFECT WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of certain warranties. In those

jurisdictions, the above exclusions apply to the fullest extent permitted.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

6.1 No liability for missed or incorrect regulatory information. WE ARE

NOT LIABLE FOR ANY LOSS ARISING FROM A REGULATORY OBLIGATION, DEADLINE,

CHANGE, PENALTY, FINE, ENFORCEMENT ACTION, LOST OPPORTUNITY, OR LEGAL

CONSEQUENCE THAT THE SERVICE FAILED TO IDENTIFY, IDENTIFIED INCORRECTLY,

IDENTIFIED LATE, FILTERED OUT, OR FAILED TO DELIVER.

6.2 No indirect damages. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL,

SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS,

LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF

ADVISED OF THE POSSIBILITY.

6.3 Liability cap. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR

RELATING TO THE SERVICE OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, WILL

NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID US IN THE TWELVE (12)

MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

6.4 Basis of the bargain. You acknowledge that the fees for the Service

reflect this allocation of risk, and that we would not provide the Service on

these economic terms without these limitations.

Some jurisdictions do not allow the exclusion or limitation of certain

damages. In those jurisdictions, our liability is limited to the fullest

extent permitted by law.

7. Indemnification

You agree to indemnify, defend, and hold harmless [LEGAL ENTITY NAME] and its

officers, directors, employees, and agents from any claim, demand, loss,

liability, damage, cost, or expense (including reasonable attorneys' fees)

arising out of or relating to: (a) your use of the Service; (b) your reliance

on any information the Service provides; (c) your violation of these Terms;

(d) your violation of any law or third-party right; or (e) any claim by a

third party arising from your compliance or non-compliance with any

regulatory obligation.

8. Third-party content and services

The Service reproduces, summarizes, and links to content published by

government bodies. **We do not control that content and are not responsible

for it.** Government sources may themselves be inaccurate, incomplete, or

withdrawn.

The Service relies on third-party providers for payment processing, email

delivery, and automated text analysis. We are not responsible for their acts,

omissions, outages, or errors. See the Privacy Policy for who they are.

these Terms, or at our discretion on reasonable notice.

10. Availability and changes to the Service

We may modify, suspend, add to, or discontinue any part of the Service —

including coverage of any jurisdiction or source — at any time, with or

without notice. **We may cease monitoring a jurisdiction we previously

monitored.** We will make reasonable efforts to communicate material coverage

reductions, but do not guarantee advance notice.

11. Intellectual property

Government documents are generally not subject to copyright. Our summaries,

classifications, taxonomy, software, and presentation are our property or

licensed to us. Your subscription grants you a limited, non-exclusive,

non-transferable right to use the Service's output for your own internal

business purposes. You may not resell, republish, or redistribute it as a

competing product.

12. Changes to these Terms

We may update these Terms. Material changes will be communicated by email or

in the Service before taking effect. Continued use after the effective date

constitutes acceptance. If you do not accept, your remedy is to cancel.

13. Governing law and disputes

These Terms are governed by the laws of the State of [STATE], without regard

to conflict-of-laws rules.

[CHOOSE ONE — discuss with counsel:]

*Option A — Courts:* Any dispute will be brought exclusively in the state or

federal courts located in [COUNTY, STATE], and you consent to that

jurisdiction and venue.

*Option B — Arbitration:* Any dispute will be resolved by binding individual

arbitration administered by [ARBITRATION BODY] under its rules, in

[CITY, STATE]. **You and we waive the right to a jury trial and to

participate in a class action.** [Include an opt-out mechanism and consider

small-claims carve-out — required for enforceability in several states.]

Time limit. Any claim must be brought within one (1) year after it arises,

or it is permanently barred, to the extent permitted by law.
